Overview
What this actually is
Category II is the broadest AIF class — private equity funds, real estate debt, structured credit and similar strategies that use neither leverage nor the concessions granted to Category I.
Debt-oriented Category II funds can produce contracted income streams, but they are still private, illiquid instruments whose returns depend entirely on borrowers meeting their obligations.
Why consider it
What it does well
- Exposure to private companies and credit unavailable to public-market investors.
- Debt-oriented strategies can generate contracted income.
- Returns are less directly correlated with daily equity market movement.
- Professional origination and diligence.

Risks & considerations
- High risk with real possibility of capital loss.
- Illiquid and locked in for the fund's life — typically five to eight years.
- Private credit carries concentrated borrower default risk. A single default can materially affect returns.
- Real estate strategies are exposed to property cycles and project execution risk.
- Interim valuations are estimates and may not be realisable.
- Returns are not assured.
